Board Director and District Committee Representative (DCR) elections alternate across Districts each year.

In November / December 2022, nominations for Board Directors and District Committee Representatives will be taking place in Districts 1, 2, 3, 4 and 5. The successful candidates will begin their term at the CFO AGM on March 6, 2023.

4. VOTING

4.01 For the purpose of electing farmer-member representatives to a position on the Board of Directors or as a District Committee Representative, a farmer-member must be the owner of a property on which chickens are produced, and,

(a) where the farmer-member is a corporation, the person, if any, designated in writing in respect of that property by the corporation shall be deemed to be the farmer-member. The person so designated, must reside in the district;

(b) where the farmer-member is a firm or partnership or one or more persons carrying on the production and marketing under a trade name, farm name, or other designation, the person, if any, designated in writing in respect of that property by the owner or owners shall be deemed to be the farmer-member;

(c) where the farmer-member is comprised of two or more persons who are joint owners, the one of such joint owners who first presents himself or herself to register the vote in respect of that property shall be deemed to be the farmermember;

(d) no farmer-member shall have more than one vote;

(e) the farmer-member shall be eligible to vote only in the district where he or she resides; and

(f) any farmer-member who cannot attend an election meeting, may designate in writing an individual to attend on their behalf who is:
(i) not a farmer-member or a representative of a farmer-member and who is
(ii) a family member of the farmer-member to vote on behalf of that farmer-member. No such alternative representative can have more than one vote nor represent more than one farmer-member


Who is eligible to stand for election as a Board Director or DCR?
  • Must reside in the District
  • Must be a CFO Farmer-Member*
*A CFO Farmer-Member is a person to whom a quota is fixed and allotted for the production of chickens.
How long is a CFO governance term for Board Director and DCR?
The term for the position is two years and commences on the day of CFO's Annual General Meeting.
Who is eligible to vote in a CFO governance election?
  • Must reside in the District
  • Must be a CFO Farmer-Member
Did You Know?
  • One vote per farmer-member - NO EXCEPTIONS
  • If there are two or more joint owners, the 1st person to present themselves at the meeting and register will have the voting right

How often are CFO governance elections held?
Alternating every year creates a 2-year term for all positions, providing continuity and experience. Elections alternate each year, Districts 1 through 5 hold nominations and elections in one year and Districts 6 through 9 in the following year.
How are the Board Director nomination and election meetings conducted?

Typically, nomination meetings are held between November - December. The meetings are chaired by an Independent Chair. In order to run in the election, a farmer-member must be nominated by one of his/her peers. Once nominated the farmer-member nominee will have an opportunity to campaign for their candidacy within their respective District. A formal election meeting will be held no less than 45 days after the nomination meeting. A secret ballot vote (which is overseen by an Independent Chair) will take place at this meeting which will determine the successful candidate.

Should there only be one farmer-member running for a Board Director position, that person will be acclaimed at the nomination meeting, and will assume the position on the day of CFO's Annual General Meeting.


What's involved in the campaign process?
CFO encourages all nominees to campaign for their position as it allows for each nominee to effectively build relationships and provides active participation in the District. To enable the nominees’ campaign, CFO commits to notify all the respective farmer-members in that District of the names of all the candidates nominated for the all positions and will provide each nominated candidate the mailing list of farmers in that District.
How are the DCR nomination and election meetings conducted?

Once nominated the farmer-member nominee will have an opportunity to campaign for their candidacy within their respective District. A formal election meeting will be held no less than 45 days after the nomination meeting. If the Board Director position is acclaimed, and if the number of DCR candidates nominated matches the number of authorized DCR positions, the DCRs will be acclaimed.

Where there is more than one nominee for Director for a district, then the nominees for DCRs will not be acclaimed. Each candidate received the list of farmers in their district for campaign purposes. Immediately following the election of the Board Director position, nominations will be reopened in order to receive any nominations for an unsuccessful candidate for Board Director as DCR. Then the DCR election will take place. 


Are there any conditions of accepting nomination?
Nominees are requested to give an undertaking in writing that if elected, he or she will complete a Code of Business Conduct, a Confidentiality Agreement and such other documents and commitments as are then required by CFO By-laws (“required documents”). A nominee who declines to give the undertaking and subsequently does not complete the required documents, or a nominee who gives the undertaking but subsequently does not complete the required documents will be considered non-participatory Director/DCR. The Board will not provide a non-participatory director or DCR with access to confidential, personal, proprietary or sensitive information concerning the Board or CFO or access to meetings of the Board where such information may be discussed or provided
How many Board Director and DCR positions are available in each of the nine Districts?

There is one Board Director per District. 

The number of DCRs per District fluctuates based on number of farmer-members who reside in the District. 

The number of DCR positions for the upcoming nominations/elections in Districts 1, 2, 3, 4 and 5 are listed below:

District 1: 4 DCRs
District 2: 5 DCRs
District 3: 5 DCRs
District 4: 3 DCRs
District 5: 3 DCRs
 


What happens if a farmer-member wishes to run for a Board Director or DCR position but is unable to attend the nomination meeting?

The farmer-member may submit a Willingness to Stand Form to CFO three business days in advance of the nomination meeting and must abide by the terms of eligibility.
